TERMS & CONDITIONS

In these Sales Terms and Conditions (Sales Terms), “we”, “us” or “our” refer to PrintAfrika.co.ke, its successors and assignees (referred to as “we”, “us” or “our”), and “you”, “your” refers to the person, organization, or entity purchasing products or related services from us (referred to as “you” or “your”), collectively the Parties. These Sales Terms apply to all sales made by us to you and are accessible at www.printafrika.co.ke (Site).

These Sales Terms constitute the agreement under which we will supply products and related services to you. Please review these Sales Terms carefully. If you have any queries, kindly contact us using the details provided below, before making any purchases from us.

By making a purchase from us or ticking the online acceptance box, you indicate that you have had adequate opportunity to read these Sales Terms, contact us if necessary, and that you agree to be bound by these Sales Terms. You confirm that you are 18 years of age or older, or have obtained consent from a legal guardian who is 18 years or older. If you do not agree to these Sales Terms, please refrain from purchasing from us.

Our Website Terms of Use govern the use of our Site, while our Privacy Policy outlines how we collect, use, and safeguard your personal information. Both documents are available on our Site.

  1. Registration

    • Upon registering on our Site, you will receive a confirmation of account registration. It is your responsibility to maintain the confidentiality of your account details. You are liable for all activities conducted through your account, including purchases made using your account credentials.
  2. Products, Services, and Orders

    • (a) Orders can be placed directly via email or through our Site. We reserve the right to accept or reject orders based on factors such as product availability and payment validation.
    • (b) Please review all order details, including delivery address, product/service specifications, and pricing, before finalizing your order on our Site.
    • (c) Upon order placement and successful payment, we will provide you with order details including contact information, order number, shipping and billing addresses, and a description of the ordered items.
    • (d) A binding agreement is formed between you and us upon issuance of an order number. No alterations to these Sales Terms will be effective unless mutually agreed upon in writing.
  3. Price and Payments

    • (a) The purchase price as specified on our Site or in our invoices (Invoices), inclusive of any applicable taxes, is payable by you in Kenyan Shillings (KES) unless stated otherwise.
    • (b) Payment methods accepted are detailed on our Site or invoices, including debit card, credit card, electronic funds transfer, or Bitcoin. Upfront payments are processed upon order receipt; deposits are payable as specified in our Invoices. Failure to settle Invoices by the due date may result in suspension of product/services provision until payment is received. Fraudulent or unlawful payment attempts will result in order cancellation.
    • (c) Unpaid amounts may accrue a monthly interest of 2%. Outstanding debts may prompt us to engage debt collection services or initiate legal proceedings.
  4. Artwork

    • (a) If your order requires submission of design specifications (Artwork), ensure compliance with our file specifications as outlined on our Site.
    • (b) We are not liable for errors in submitted Artwork or those arising from electronic transfer. We bear no responsibility for errors in Artwork submitted with mistakes.
    • (c) You are responsible for reviewing and approving all products produced using your Artwork.
    • (d) A PDF proof (Proof) will be sent for your approval via email or post. While we use calibrated press profiles for accurate color reproduction, slight variations may occur due to chosen stock or coatings.
    • (e) Approval must be provided within 5 business days. Amendments will be made as instructed before final approval.
    • (f) Post-approval, subsequent errors are not our liability.
    • (g) While we strive for color accuracy, minor variations
    • (m) Entire Agreement: These Sales Terms and any document expressly referred to in them represent the entire agreement between you and us and supersede any prior agreement, understanding or arrangement between you and us, whether oral or in writing.
    • (n) Amendments: We reserve the right to amend these Sales Terms at any time. Any amendments will be effective immediately upon posting on the website. It is your responsibility to review these Sales Terms periodically for changes. Your continued use of the website following the posting of amendments will mean that you accept and agree to the amendments.
    • (o) Severability: If any provision of these Sales Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
    • (p) Waiver: Our failure to enforce any right or provision of these Sales Terms will not be considered a waiver of those rights. Our rights under these Sales Terms will survive any termination of these Sales Terms.
    • (q) Governing Law: These Sales Terms are governed by and construed in accordance with the laws of Kenya. You agree to submit to the exclusive jurisdiction of the courts of Kenya.

5. Availabilty

(a) All purchases made with us are subject to availability. We do our best to keep in stock most products, ensure that services supplied by us are made readily available to you, and to keep the Site up to date with availability of products or services.

(b) If certain products are out of stock or discontinued, we may from time to time substitute a product with another product of similar appearance, value and size. Where an item is substantially different, we will obtain your permission to substitute the item.

6. Cancellation

Once you have submitted an order on our Site, confirmed the details of your order and your payment is processed, you will not be permitted to cancel your order at any time and you remain bound by these Sales Terms.

7. Delivery

(a) Location: We deliver kenyan wide, to the whole of EAST AFRICA  and to the Entire Africa & Beyond . Please refer to the delivery information on the Site to check that you are in our delivery area. If you are not in our delivery area please contact us to discuss delivery options.

(b) Cost: We offer free delivery for some products to some areas, as set out on the Site. If free delivery does not apply, a delivery fee will apply, as set out on the Site.

(c) Timing: We will normally dispatch the product within 7 business days from the receipt of your order, unless otherwise noted on the Site. Any delivery periods displayed on the Site are estimates only, based on the information provided by the delivery company. We will deliver the product to the place of delivery you specify when making your order

(d) Change: If you need to change the delivery address, this can only be done prior to submitting an order by updating your account on our Site.

(e) Method: We may deliver the products via a range of delivery methods. All deliveries must be signed for. If neither you nor your authorised representative is at the delivery address to accept delivery you will be notified, generally by the delivery company leaving a card, so that you can collect your delivery from your local post office.

(f) Title and Risk: Title in the products will not pass to you until the later of delivery, or your payment has been processed or otherwise received by us. If your payment is declined for any reason we reserve the right to reclaim the products from your possession, custody or control even if they have been delivered to you or moved from the delivery address. We reserve the right to keep or sell the products. Risk of loss, damage or deterioration to any products will pass to you once the product is delivered to the address you provide.

 

8. Discount Codes and Promotions

We may from time to time offer promotional discount codes, which may be applicable to products or services on the Site, and must be entered at the time of submitting your order. The conditions of use relating to any discount code will be specified at the time that it is issued.

9. Intellectual Property Rights

(a) Intellectual Property Rights mean all present and future rights in or to any patent, copyright, database rights, registered design or other design right, utility model, trade mark (whether registered or not and including any rights in get up or trade dress), brand name, service mark, trade name, eligible layout right, chip topography right and any other rights of a proprietary nature in or to the results of intellectual activity in the industrial, commercial, scientific, literary or artistic fields, whether registrable or not, including all renewals, extensions and revivals of, and all rights to apply for, any of the foregoing rights (Intellectual Property Rights).

(b) We own all Intellectual Property Rights in the Site, business, products, services and branding, as between us and you. The products contain material which is owned by or licensed to us and is protected by Kenyan and international laws (Materials). We own the copyright which subsists in all creative and literary works incorporated into our Materials.

(c) You must not breach our Intellectual Property Rights by, including but not limited to altering or modifying any of the Materials, creating derivative works from the Materials or using our Materials for commercial purposes such as onsale to third parties

10. Dispute

Your feedback is important to us. We seek to resolve your concerns quickly and effectively. If you have any feedback or questions about our products or services, please contact us. If there is a dispute between the Parties in relation to these Sale Terms, the Parties agree to the following dispute resolution procedure:

  • The complainant must tell the respondent in writing the nature of the dispute, what outcome the complainant wants and what action the complainant thinks will settle the dispute. The Parties agree to meet in good faith to seek to resolve the dispute by agreement between them (Initial Meeting).
  • If the Parties cannot agree how to resolve the dispute at the Initial Meeting, any Party may refer the matter to a mediator. If the Parties cannot agree on who the mediator should be, the complainant will ask the Law Society of New South Wales to appoint a mediator. The mediator will decide the time and place for mediation. The Parties must attend the mediation in good faith, to seek to resolve the dispute.

Any attempts made by the Parties to resolve a dispute pursuant to this clause are without prejudice to other rights or entitlements of the Parties under these Sales Terms, by law or in equity.

11. Consumer Law, Return, Refund and Exchange Policy

(a) Consumer Protection Act: The Consumer Protection Act and similar consumer protection laws and regulations in Kenya confer rights, warranties, guarantees, and remedies to consumers that cannot be excluded, restricted, or modified by businesses. Our liability is governed solely by the Consumer Protection Act and these Sales Terms.

(b) Goods & Services: If you are a consumer as defined in the Consumer Protection Act, the following notice applies to you: “Our goods and services come with guarantees that cannot be excluded under the Consumer Protection Act. You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure. Services must be rendered with due care and skill, and must be fit for the purpose.”

(c) Nothing in these Sales Terms excludes your rights under the Consumer Protection Act. You agree that our liability for goods and services provided to you as a consumer under the Consumer Protection Act is governed solely by the Act and these Sales Terms. We exclude all conditions and warranties implied by custom, law, or statute except for those rights guaranteed under the Consumer Protection Act.

(d) Warranties: Seller: Except for your rights under the Consumer Protection Act, all material and work is provided to you without warranties of any kind, either express or implied, and we expressly disclaim all warranties of any kind including but not limited to implied warranties of merchantability and fitness for a particular purpose. Manufacturer: Products may come with a manufacturer’s warranty. The manufacturer’s warranty is in addition to, but may overlap with, any rights and remedies you may have under the Consumer Protection Act. If you are not considered a “consumer” under the Consumer Protection Act, the manufacturer’s warranty may be your sole remedy. Please contact the manufacturer for warranty claims.

(e) Repair, replacement, or refund: If you wish to seek repair, replacement, or refund for a product or service, you must contact us within 7 days of receipt of your products/services and we will explain the requirements to you. This may include providing proof of purchase and evidence of the faulty product or service.

(f) Refund: If you are entitled to a refund, we will only provide the refund once evidence of the faulty product is received by us, or once we have received the product at our warehouse and assessed its eligibility for a refund under these Sales Terms. Any refund will be issued using the same payment method used for the original purchase.

(g) Packaging: You must adequately package any product you are returning to ensure it is not damaged during return delivery to our warehouse. We will arrange for collection of any products you wish to return, usually within 5 business days.

(h) Duty of care: You have a duty of care for the product while it is in your possession. If you damage a product and subsequently return it, you may be liable to pay for its repair to its original condition. If repair is not economically viable, no refund will be issued.

(i) Change of mind: We will only accept returns for change of mind in accordance with our cancellation policy outlined in clause 4(d) of these Sales Terms.

    (a) While we believe the information and material on our Site is accurate and current, it is provided in good faith on an “as is” basis. We, and our directors, officers, employees, contractors, and agents, accept no responsibility for and make no representations or warranties to you or any other person regarding the reliability, accuracy, or completeness of the information on the Site.

(b) Certain legislation including the Consumer Protection Act and similar consumer protection laws may confer you with rights, warranties, guarantees, and remedies relating to the provision of goods or services to you by us via the Site, which cannot be excluded, restricted, or modified. Our liability is governed solely by the Consumer Protection Act and these Sales Terms.

(c) To the extent permitted by law, we exclude all conditions and warranties, except for your rights under the Consumer Protection Act, including but not limited to:

we expressly disclaim any implied or express guarantees, representations, or conditions of any kind, which are not stated in these Sales Terms;
we take no responsibility for, and will not be liable for, the Site or the availability of products or services;
we will not be liable for any loss, damage, injury, death, costs including legal costs, or expense whether direct, indirect, incidental, special, consequential, or otherwise, arising out of or in connection with the Site, inability to access or use the Site, the products, the services, the late supply of products or services, or these Sales Terms, even if we were advised of the likelihood of such loss or damage;
(d) To the extent permitted by law, our total liability arising out of or in connection with the products, the services, or these Sales Terms, however arising, including under contract, tort (including negligence), in equity, under statute, or otherwise, will not exceed the total price paid by you for the purchase of products and/or services under these Sales Terms.

(e) This clause will survive termination of these Sales Terms.

12. Limitation of Liability and Disclaimer

(a) While the information and material contained on the Site is believed to be accurate and current, it is provided by us in good faith on an “as is” basis, and we and our directors, officers, employees, contractors, and agents accept no responsibility for and make no representations or warranties to you or to any other person as to the reliability, accuracy, or completeness of the information contained on the Site.

(b) Certain legislation including the Consumer Protection Act and similar consumer protection laws and regulations in Kenya may confer you with rights, warranties, guarantees, and remedies relating to the provision of goods or services to you by us via the Site which cannot be excluded, restricted, or modified. Our liability is governed solely by the Consumer Protection Act and these Sales Terms.

(c) To the extent permitted by law, we exclude all conditions and warranties, except for your Statutory Rights including but not limited to:

we expressly disclaim any implied or express guarantees, representations, or conditions of any kind, which are not stated in these Sales Terms;
we take no responsibility for, and will not be liable for the Site or the products or services being unavailable; and
we will not be liable for any loss, damage, injury, death, costs including legal costs, or expense whether direct, indirect, incidental, special, consequential, and/or incidental, including loss of profits, revenue, production, opportunity, access to markets, goodwill, reputation, use, or any indirect, remote, abnormal, or unforeseeable loss, or any loss or damage relating to business interruption, loss of programs, or other data on your information systems or costs of replacement goods, or otherwise, suffered by you or claims made against you, arising out of or in connection with the Site, inability to access or use the Site, the products, the services, the late supply of products or services, or these Sales Terms, even if we were expressly advised of the likelihood of such loss or damage.

(d) To the extent permitted by law, our total liability arising out of or in connection with the products, the services, or these Sales Terms, however arising, including under contract, tort (including negligence), in equity, under statute, or otherwise, will not exceed the total price paid by you for the purchase of products and/or services under these Sales Terms.

(e) This clause will survive termination of these Sales Terms.

13. Amendment

These Sales Terms may be amended from time to time; we will provide you with 14 days’ notice of the varied Sales Terms. Your purchase from us following any such amendments will be deemed to be confirmation that you accept those amendments. If you have reasonable grounds to believe that the varied Sales Terms will be detrimental to your rights, you may terminate these Sales Terms without penalty within 14 days of receiving notice of the varied Sales Terms. We recommend that you check the current Sales Terms before purchasing a product. Our agents, employees and third parties do not have authority to change these Sales Terms.

14. Indemnity

(a) You agree to indemnify us and hold us harmless from and against all claims, suits, demands, actions, liabilities, costs, and expenses (including legal costs and expenses on a full indemnity basis) arising out of or in connection with:

(i) Your breach of these Sales Terms; (ii) Your violation of any law or the rights of a third party; (iii) Your use of our products or services; or (iv) Any dispute, complaint, investigation, or litigation arising out of or relating to incorrect information provided by you.

(b) You agree to cooperate with us (at your own expense) in the handling of disputes, complaints, investigations, or litigation that arise as a result of your use of our products or services, including but not limited to providing necessary information and participating in dispute resolution procedures.

15.General

 

(a) Privacy: We agree to comply with the legal requirements of applicable privacy laws in Kenya, including the Protection of Personal Information Act, and any other relevant legislation or privacy guidelines.

(b) Accuracy: While we strive to maintain the accuracy and correctness of information, images, products, services, or related graphics on our website, we do not provide any warranties or guarantees, express or implied, regarding their completeness, accuracy, reliability, suitability, or availability for any specific purpose. We acknowledge that errors or inaccuracies may occur, and we disclaim liability to the fullest extent permissible by law.

(c) Termination: We reserve the right to refuse to supply products or services, terminate user accounts, end contracts with customers, and modify or remove content on our website at our sole discretion, without assuming any liability to you. We may terminate your account or our contract with you, at our discretion and without liability, if:

  • You commit a breach of these Sales Terms that cannot be remedied.
  • You commit a breach that can be remedied and fail to rectify it within 14 days after receiving notice from us.

(d) VAT: If applicable, VAT payable on our services or products will be clearly stated on our invoices. By accepting these Sales Terms, you agree to pay us an amount equivalent to the VAT imposed on these charges.

(e) Relationship of Parties: These Sales Terms do not establish a partnership, joint venture, or employer-employee relationship between the parties.

(f) Force Majeure: We will not be held liable for any delay or failure to fulfill our obligations under these Sales Terms if such delay or failure arises from circumstances beyond our reasonable control.

(g) Notice: Any notice related to these Sales Terms will be considered duly given when provided in writing and delivered by email, facsimile, or post to the intended recipient or to any other address, email address, or facsimile number as previously notified in writing.

(h) Waiver: Failure by either party to insist on strict performance of any provision in these Sales Terms will not constitute a waiver of any rights under that provision. No waiver of any provision of these Sales Terms will be effective unless explicitly stated as a waiver in writing.

(i) Assignment: You may not assign any rights or obligations under these Sales Terms without our prior written consent.

(j) Severability: If any provision of these Sales Terms is found to be invalid, unlawful, or unenforceable by a competent authority, that provision will be severed from the remaining terms, conditions, and provisions, which will continue to be valid to the fullest extent permitted by law.

(k) Jurisdiction and Applicable Law: Your use of our website and any disputes arising from it are subject to

16. Amendments

(a) These Sales Terms may be amended from time to time. We will provide you with reasonable notice of any changes to these terms. Your continued use of our services following any amendments will constitute your acceptance of those changes.

(b) If you believe that any amendments to these Sales Terms will adversely affect your rights, you may terminate these Sales Terms within 14 days of receiving notice of the amendments without penalty.

17. Indemnity

You agree to indemnify us from and against all claims, liabilities, damages, losses, costs, and expenses, including legal expenses, arising out of or in connection with:

(a) Your breach of these Sales Terms;
(b) Your violation of any law or the rights of a third party;
(c) Your use of our products or services; or
(d) Any dispute between you and a third party.

18. Governing Law and Dispute Resolution

(a) These Sales Terms are governed by the laws of Kenya.

(b) Any dispute arising out of or in connection with these Sales Terms, including any question regarding its existence, validity, or termination, shall be resolved through negotiation in good faith between the parties.

(c) If the parties are unable to resolve the dispute through negotiation, either party may refer the dispute to mediation administered by a mutually agreed mediator or the Kenya Institute of Arbitrators.

(d) If mediation is unsuccessful, the dispute shall be finally resolved by arbitration in accordance with the Arbitration Act (Cap 4A) of Kenya. The seat of arbitration shall be Nairobi, Kenya, and the language of arbitration shall be English.

19. Severability

If any provision of these Sales Terms is found to be invalid, illegal, or unenforceable under any applicable law, such provision shall be deemed modified to the extent necessary to make it valid, legal, and enforceable. If modification is not possible, the provision shall be severed from these Sales Terms without affecting the validity and enforceability of the remaining provisions.

20. Waiver

The failure by either party to enforce any provision of these Sales Terms shall not be construed as a waiver of any provision or right.

21. Entire Agreement

These Sales Terms, together with any documents expressly referred to in them, constitute the entire agreement between you and us with respect to its subject matter and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
